LTC E-Suite Platform
These Terms and Conditions ("Terms") govern your use of the LTC E-Suite platform (the "Service"), provided by LTC Software Ltd, a company incorporated in England and Wales ("we", "us", "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Service.
1. Definitions
- Service: The LTC E-Suite CRM/CMS application and any associated modules, features, or tools.
- User / You: Any individual or organisation using the Service.
- Account: The profile associated with your use of the Service.
- Content: Any data, files, emails, templates, media, or information uploaded or created by you.
- Free Plan / Pro Plan: Subscription tiers offered for the Service.
2. Account Registration and Security
To use the Service, you must register for an Account and provide accurate and complete information. You are responsible for:
- Maintaining the confidentiality of login details;
- Ensuring that your Account is used only by authorised individuals;
- Any actions taken under your Account.
If we believe your Account is compromised or misused, we may suspend or terminate access.
3. Ownership and Intellectual Property
You retain ownership of all Content you upload or create within the Service. We do not claim ownership of your data.
We retain all rights, title, and interest in the software, source code, platform features, user interface, and design. You are granted a non-exclusive, non-transferable licence to use the Service in accordance with these Terms.
4. Data Protection and Privacy
We act as a Data Processor for personal data stored and processed through the Service. You act as the Data Controller and are responsible for:
- Ensuring you have lawful grounds for storing and processing personal data;
- Managing consent and data access requests where required.
We implement administrative, technical, and physical safeguards appropriate for the data we host. Full details are outlined in our Privacy Policy, which forms part of these Terms.
A Data Processing Agreement (DPA) is available on request.
5. Acceptable Use Policy
You agree not to:
- Use the Service for unlawful, harmful, fraudulent, or abusive purposes;
- Send unsolicited or "spam" communications;
- Upload or distribute defamatory, offensive, or infringing material;
- Attempt to gain unauthorised access to the Service or supporting infrastructure;
- Reverse engineer, copy, or reproduce any part of the Service.
Violation of this section may result in immediate suspension or termination.
6. Email Sending
The Service provides tools for sending emails, including marketing communications. You are responsible for ensuring:
- Compliance with applicable email marketing laws, including GDPR, PECR, and anti-spam regulations;
- All recipients have provided valid consent where required.
We do not guarantee email delivery or placement in inbox folders.
7. Subscriptions, Billing, and Refunds
Paid subscriptions (such as the Pro Plan) are billed on a recurring basis. Your subscription will auto-renew unless cancelled before the renewal date.
- Fees are non-refundable once a billing cycle has begun.
- If payment fails, we may suspend or restrict access until payment is made.
8. Service Availability and Maintenance
We aim to provide a reliable Service but cannot guarantee uninterrupted operation. Planned maintenance or unplanned outages may occur.
We are not responsible for:
- Internet or third-party failures,
- Loss of functionality caused by your software, devices, or configurations.
9. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for loss of revenue, profits, business interruption, or data loss;
- Our total liability to you will not exceed the amount paid by you in the previous 12 months.
Nothing in these Terms limits liability for fraud or death/personal injury caused by negligence.
10. Termination
Either party may terminate at any time. Upon termination, your access to the Service will end. You are responsible for exporting your data before termination.
After termination, we may permanently delete your data following a reasonable retention period.
11. Amendments to These Terms
We may update these Terms periodically. If changes are material, we will notify you. Continued use of the Service after changes constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
